Conclusion of a contract

A contract is only concluded when we have issued an order confirmation.

Prices and terms of payment

No discounts are permitted if any sums are owing from previous invoices. Discount charges, collection costs and all other costs are at the expense of the customer. Unless otherwise agreed, prices are ex works, excluding packaging. The purchaser must make payment within the agreed payment period; unless otherwise agreed, payment must be made with no deductions within 30 days of invoicing. The purchaser is not entitled to withhold payments while making warranty claims or any other counter-claims not recognised by us.

The supplier retains ownership of the delivery item until all claims by the supplier against the purchaser arising from this business connection, including any contracts to be decided in the future, have been settled. This applies even if some or all of the supplier's claims have been included in an interim invoice and the balance has been struck and accepted. If the purchaser acts in breach of the contract, and especially in the event of a late payment, the supplier is entitled to reclaim the delivery item, after issuing a warning, and the purchaser is obliged to hand it over.

Any damage caused during transportation must be confirmed in the presence of witnesses (the freight carrier) or experts. The freight forwarding company can accept no liability for damage caused during transportation or loading if the defects are not reported immediately. Unless otherwise stated in the order confirmation, delivery is "ex works". We have complied with our terms of delivery once the goods are handed over to the freight carrier or freight forwarding company. Loading and dispatch are in all cases at the risk of the buyer, even where delivery is "free to consignee", "free domicile", "freight and carriage paid to..." or similar. Accessories where there is no indication of the proportion of freight charges are "ex works" unless they are supplied when the machine is first acquired.

Delivery periods and arrears

The delivery period begins on the day on which the order is finally confirmed, but not before all the details of the order to be executed have been fully clarified. We accept no liability for delayed or outstanding deliveries or services provided by our own suppliers.

The manufacturer guarantees their products for a period of 12 months from the date of invoice, with the exception of bought-in products such as propeller shafts, ball bearings, toothed belts etc., which are covered by the guarantee clauses of their respective manufacturers. For the period of the guarantee, the manufacturer undertakes to replace free of charge any such parts as are recognised by our own technical department as falling within the terms of the guarantee. Wage and transport costs are excluded. Definitely excluded from this guarantee are machines:
  • to which modifications have been made
  • which are being used for purposes other than those intended
  • which have continued to be used after the occurrence of a defect.
The manufacturer does not accept any responsibility for consequential costs for machines under guarantee, such as loss of earnings, indirect losses, etc. For accounting purposes, all spare parts will be charged for at the time of dispatch, including parts under guarantee. Following acceptance of a claim under the guarantee, a credit note will be issued. The purchaser must return defective parts to the factory at his own expense.
